These Terms of Use ("Terms") govern your use of effiops.io (the "Site"), operated by EffiOps LLC, a Florida limited liability company ("EffiOps," "we," "us"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

The Site is informational

Content on the Site (including guides, examples, estimates, and blog posts) is provided for general information about our services. It is not professional, legal, financial, or technical advice for your specific situation, and it does not create a client relationship. Services are provided only under a separately signed services agreement and statement of work; if these Terms conflict with a signed agreement, the signed agreement controls.

Intellectual property

The Site and its content (text, graphics, logos, the "Effie" mascot and character artwork, page designs, and underlying code) are the property of EffiOps LLC or its licensors and are protected by copyright and trademark law. You may view, download, and print pages for your own business evaluation of our services. You may not copy, republish, scrape at scale, resell, or create derivative works from Site content without our written permission.

Acceptable use

You agree not to misuse the Site, including by: attempting to gain unauthorized access to any systems; interfering with the Site's operation; introducing malicious code; using the Site to send spam; or misrepresenting your identity or affiliation when contacting us.

Third-party sites and services

The Site links to third-party sites and uses third-party services (see our Privacy Policy). We are not responsible for third-party content, terms, or practices.

Disclaimer of warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Results described on the Site (such as time savings or cost comparisons) are illustrative estimates, not guarantees of outcomes for your business.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EFFIOPS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL AGGREGATE LIABILITY ARISING FROM THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Liability under a signed services agreement is governed by that agreement, not by this section.

Indemnification

You agree to indemnify and hold EffiOps LLC harmless from claims arising out of your misuse of the Site or violation of these Terms.

Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute arising from the Site will be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to their jurisdiction.

Changes

We may update these Terms from time to time; the current version will always be posted here with its "last updated" date. Continued use of the Site after changes means you accept the updated Terms.

General

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and EffiOps LLC regarding use of the Site.
